
OTL Studio – Terms & Conditions

These Terms & Conditions (“Terms”) apply to all services provided by OTL Studio (“we”, “us”, “our”) to the client (“you”, “your”). By booking, commissioning, or engaging OTL Studio, you agree to be bound by these Terms.

1. About OTL Studio
OTL Studio operates as a sole trader under the trading name OTL Studio, providing photography, videography, drone services, production, and related creative services.
These Terms are governed by and construed in accordance with the laws of England and Wales.

2. Services
OTL Studio provides services including, but not limited to:

Videography
-
Photography
-
Drone photography and videography
-
Editing and post-production
-
Social media content creation
-
Event coverage
-
Commercial and promotional content
-
Ongoing or retainer-based projects
The specific scope of services, deliverables, timelines, and fees will be agreed in writing prior to commencement of any project.

3. Bookings & Payments
3.1 Deposits

Events: A non-refundable deposit is required to secure the booking, with the remaining balance payable before the event date.

Larger projects: Full payment may be required upfront, as agreed in advance.
No booking is confirmed until the required deposit or payment has been received.

3.2 Final Payment
All outstanding balances must be paid in full before delivery of final content unless otherwise agreed in writing.
​
3.3 Late Payments
Late payments may result in delayed delivery. OTL Studio reserves the right to charge statutory interest and recovery costs in line with UK legislation.

4. Cancellations & Rescheduling
4.1 Client Cancellations

All deposits are non-refundable, regardless of notice period.

If a project has commenced, OTL Studio reserves the right to charge for work completed to date.
​
4.2 Rescheduling
Rescheduling is permitted, subject to availability and reasonable notice. Deposits may be transferred to a rescheduled date at OTL Studio’s discretion.
​
4.3 OTL Studio Cancellations
OTL Studio reserves the right to cancel or reschedule due to circumstances beyond reasonable control, including but not limited to illness, adverse weather, equipment failure, or safety concerns. In such cases, any payments made will be transferred to a new date or refunded where appropriate.

5. Delivery & Revisions
5.1 Delivery Timelines
Delivery timelines will vary depending on the package purchased and the size and complexity of the project. Timelines will be mutually agreed prior to the project commencing.

5.2 Revisions

One (1) round of reasonable revisions is included unless otherwise stated.

Additional revisions may be charged at an agreed rate.
Revisions do not include re-editing due to a change of brief or creative direction after approval.

6. Usage Rights & Intellectual Property
6.1 Ownership
All content created by OTL Studio remains the intellectual property of OTL Studio, unless otherwise agreed in writing.
​
6.2 Client Licence
Upon full payment, the client is granted an unlimited, non-exclusive licence to use the delivered content for any personal or commercial purpose.
​
6.3 OTL Studio Usage
OTL Studio retains the right to use all captured material for:

Portfolio use
-
Website and social media
-
Showreels
-
Marketing and promotional purposes
Unless mutually agreed otherwise in writing.

7. Raw Footage
OTL Studio does not provide raw footage or unedited files under any circumstances. Only final, edited deliverables as agreed will be supplied.
​
8. Drone Services
Drone operations are subject to:

Weather conditions
-
Airspace restrictions
-
CAA regulations
-
Local authority or landowner permissions
OTL Studio cannot guarantee drone footage where restrictions or safety concerns apply. Alternative solutions may be offered where possible.

9. Client Responsibilities
The client is responsible for:

Securing permissions, access, and location consent
-
Ensuring individuals appearing on camera have provided consent
-
Providing clear briefs and accurate information
OTL Studio accepts no liability for delays or limitations caused by incomplete or incorrect client information.
​
10. Liability
-
OTL Studio will perform services with reasonable skill and care.
-
Liability is limited to the total amount paid by the client for the services.
-
OTL Studio shall not be liable for indirect, consequential, or economic losses.
-

11. Force Majeure
OTL Studio shall not be liable for failure to perform services due to events beyond reasonable control, including but not limited to extreme weather, acts of God, strikes, illness, or government restrictions.
​
12. Confidentiality
Both parties agree to keep confidential any commercially sensitive information disclosed during the course of the project, unless required by law.

13. Termination
OTL Studio reserves the right to terminate services if:

Payments are not made as agreed
-
The client breaches these Terms
-
Abusive, unsafe, or unlawful behaviour occurs
​
14. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of its courts.

Retainer Services Addendum
​
OTL Studio
This Retainer Addendum (“Addendum”) forms part of the OTL Studio Terms & Conditions and applies where a client engages OTL Studio on an ongoing or recurring basis.
​
1. Retainer Scope
A retainer agreement provides the client with ongoing access to OTL Studio’s services over a defined period (e.g. monthly), as agreed in writing.
The scope may include, but is not limited to:

Photography and/or videography
-
Editing and post-production
-
Social media content creation
-
Regular shoot days or content drops
-
Ongoing creative support
The exact deliverables, frequency, and inclusions will be outlined in a written agreement or proposal.
​
2. Retainer Fees & Payment
-
Retainer fees are payable in advance of each retainer period (typically monthly).
-
Payments are non-refundable once the retainer period has commenced.
-
Failure to make payment may result in services being paused or suspended.
-
​
3. Usage of Retainer Hours / Deliverables
-
Retainer services must be used within the agreed retainer period.
-
Unused hours, shoot days, or deliverables do not roll over unless explicitly agreed in writing.
-
Retainers reserve availability and time, not just output.
​
4. Revisions
Unless otherwise stated:
-
One (1) round of revisions per deliverable is included.
-
Additional revisions or work outside the agreed scope may be charged separately.
​
5. Scheduling & Availability
-
Shoot dates and delivery timelines are subject to mutual agreement and availability.
-
The client is responsible for providing adequate notice for scheduling requests.
-
OTL Studio cannot guarantee availability for last-minute requests outside the agreed scope.
​
6. Cancellation & Termination of Retainer
6.1 Client Termination
-
A minimum of 30 days’ written notice is required to terminate a retainer unless otherwise agreed.
-
Any payments made for the current retainer period remain non-refundable.
​
6.2 OTL Studio Termination
OTL Studio reserves the right to terminate a retainer with reasonable notice if:
-
Payments are not made on time
-
The working relationship becomes unsafe, abusive, or unprofessional
-
The client breaches the Terms & Conditions
​
7. Intellectual Property & Usage
All intellectual property terms outlined in Section 6 of the main Terms & Conditions apply equally to retainer work, including:

OTL Studio retaining copyright
-
The client receiving unlimited usage rights upon full payment
-
OTL Studio’s right to use material for portfolio and marketing purposes unless mutually agreed otherwise

8. Changes to Retainer Scope
Any material change to the scope, volume, or nature of work must be agreed in writing and may result in:

An adjusted retainer fee
-
A revised agreement
​
9. Governing Law
This Addendum is governed by the laws of England and Wales and forms part of the binding agreement between OTL Studio and the client.
​
